Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hyper Solutions Consulting LLC ("ZeroDelay.ai"). ZeroDelay.ai is a registered trade name of Hyper Solutions Consulting LLC. These Terms govern your use of the ZeroDelay.ai platform, including all web pages, AI-generated content, and related services.

By creating an account or using ZeroDelay.ai, you confirm that you are at least 18 years old, have the authority to enter into these Terms, and agree to be bound by them. If you are using ZeroDelay.ai on behalf of a company, you represent that you are authorised to bind that company.

The Service

ZeroDelay.ai provides an AI-powered business coaching platform that generates personalised 90-day action plans, facilitates coaching check-ins, and produces progress reports.

All coaching content is generated by AI and is informational only. It does not constitute professional financial, legal, accounting, or business consulting advice. You remain solely responsible for all business decisions you make.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

AI-Generated Content Disclaimer

ZeroDelay.ai uses artificial intelligence to generate business analysis reports, plans, and recommendations. You acknowledge that:

(a) AI-generated content may contain errors, inaccuracies, or outdated information.

(b) Financial projections and estimates are based solely on information you provide and do not constitute professional financial advice.

(c) Tool recommendations are based on algorithmic matching to your stated business needs and do not constitute professional endorsement.

(d) ZeroDelay.ai does not guarantee that any recommendation will produce any specific result.

(e) You should independently verify any significant recommendation before acting on it.

(f) ZeroDelay.ai is not liable for any business decision made in reliance on AI-generated content.

ZeroDelay.ai is a software tool that generates AI-powered business analysis reports. ZeroDelay.ai is not: a licensed business consultant or advisory firm; a registered investment advisor; a licensed accountant or CPA; a law firm or licensed attorney; or an insurance company or licensed insurance advisor. Recommendations generated by ZeroDelay.ai do not constitute professional advice in any of these areas. ZeroDelay.ai makes no warranty that following any recommendation will produce any specific business outcome.

Accounts

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at zerodelay.ai.cs@hypersolutionsconsulting.com if you suspect unauthorised access.

You may not share your account with others, create accounts by automated means, or impersonate any person or entity.

We may suspend or terminate your account if you violate these Terms or engage in activity that harms ZeroDelay.ai or other users.

Subscriptions and Billing

ZeroDelay.ai offers free-tier access and paid plans: a $149 one-time 90-Day Plan, a $89/month monthly subscription, and a $849/year annual subscription.

$89 monthly subscriptions renew automatically each month. The $849 annual subscription is billed once upfront and renews automatically once each year. You may cancel renewal from Account → Manage Billing. Cancellation stops the next renewal, and access continues through the end of the paid term.

Cancellation creates no automatic or prorated refund, credit, proration, or invoice adjustment, except where required by applicable law. Annual payments are non-refundable and monthly payments are not prorated on cancellation except where required by applicable law.

All fees are exclusive of taxes. You are responsible for all applicable taxes.

Refund Policy — 90-Day Plan ($149 one-time)

The $149 one-time 90-Day Plan is subject to a limited satisfaction guarantee. To qualify: (1) you must complete the diagnostic, (2) you must receive and review your delivered plan, and (3) you must email us at zerodelay.ai.cs@hypersolutionsconsulting.com with the subject line 'Refund request' within 7 calendar days of plan delivery.

If you find no new actionable insight in your delivered plan and satisfy the conditions above, we will refund your $149 payment; the maximum refund under this guarantee is $149.

This guarantee does not apply to monthly or annual subscription charges. Subscription refunds are governed solely by the Subscriptions and Billing section above.

This guarantee requires completion and review of the plan and a request within the stated period; it does not apply automatically.

Gift Codes and Promotions

Gift codes are single-use promotional codes that grant temporary access to paid features. They cannot be exchanged for cash, transferred between accounts, or combined with other promotions unless explicitly stated.

Expired or invalid codes have no cash value. We reserve the right to modify or cancel promotional programmes at any time.

Acceptable Use

You agree not to: (a) reverse engineer or extract the AI models or proprietary algorithms; (b) use ZeroDelay.ai to generate content that is illegal, harmful, or deceptive; (c) resell or sublicense access to ZeroDelay.ai; (d) interfere with the platform's infrastructure or attempt unauthorised access; (e) upload content that infringes third-party intellectual property rights.

Intellectual Property

ZeroDelay.ai retains all rights to its platform, branding, and proprietary AI systems.

You retain ownership of the business information you submit. By using ZeroDelay.ai, you grant us a limited licence to process that data solely to provide and improve the service.

AI-generated coaching plans are provided for your personal business use. You may not publish, resell, or distribute them as your own original work or as professional consulting deliverables.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPER SOLUTIONS CONSULTING LLC D/B/A ZERODELAY.AI AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOST PROFITS OR BUSINESS LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZERODELAY.AI IN THE 12 MONTHS PRECEDING THE CLAIM.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration in Houston, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the app at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance.
